Terms of Service

1. Agreement to Terms
By accessing or using Gravote ("the Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. These Terms apply to all users, including merchants and visitors.
Gravote is operated by Gravote Technologies, a company registered in Nigeria ("Gravote", "we", "us").
2. Description of Service
Gravote is a WhatsApp commerce platform that allows merchants to manage orders, inventory, customer records, and payments received via WhatsApp. The Service includes a merchant dashboard, an AI-powered WhatsApp bot, an online shop feature, and related tools.
3. Account Registration
You must register for an account to use the Service. You agree to provide accurate and complete information and to keep your account information updated. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised access at security@gravote.com.
You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this requirement and have the legal authority to enter into these Terms.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to sell prohibited or illegal products or services
- Transmit spam, unsolicited messages, or misleading communications to customers
- Impersonate any person or entity or misrepresent your affiliation
- Attempt to gain unauthorised access to any part of the Service or its infrastructure
- Use the Service in any way that violates WhatsApp's Terms of Service or Meta's policies
- Reverse-engineer or attempt to extract the source code of the Service
- Use the Service to harass, abuse, or harm others
We reserve the right to suspend or terminate accounts that violate these rules without notice or refund.
5. WhatsApp & Meta Policies
Gravote uses the WhatsApp Cloud API, operated by Meta. By connecting a WhatsApp number to Gravote, you also agree to Meta's WhatsApp Business Policy and Commerce Policy. You are responsible for ensuring your use of WhatsApp through Gravote complies with Meta's policies.
6. Subscription and Payments
Certain features require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. Prices are stated on our Pricing page and may change with 30 days' notice.
Payments are processed via Stripe or Paystack. All fees are non-refundable except as required by Nigerian consumer protection law or as expressly stated. You may cancel your subscription at any time; access continues until the end of the paid period.
If payment fails, we will retry for 7 days before suspending access to paid features.
7. Intellectual Property
The Service and its original content (excluding content uploaded by merchants) are owned by Gravote and protected by copyright and other applicable laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our written permission.
You retain all ownership rights to the content you upload (product listings, images, business data). By uploading content, you grant Gravote a limited, non-exclusive licence to use it solely to provide the Service.
8. Data Responsibility
As a merchant, you are the data controller for your customers' personal data. Gravote acts as your data processor. You are responsible for obtaining any necessary consent from your customers to process their data via WhatsApp and to store it in the Gravote platform. 9. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses.
To the fullest extent permitted by Nigerian law, Gravote shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service. Our total liability to you for any direct damages shall not exceed the total fees paid by you in the 3 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Gravote and its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right; or (d) any dispute between you and your customers.
11. Termination
You may close your account at any time via Dashboard → Settings → Account. We may suspend or terminate your account with 7 days' notice for convenience, or immediately for breach of these Terms. On termination, you may export your data within 30 days. After that, we will delete your account data.
12. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. We will first attempt to resolve disputes through mediation before resorting to litigation.
13. Changes to Terms
We may update these Terms at any time. We will notify you of material changes by email or by posting a prominent notice on the Service at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
